Welcome to COKOLO (“Company,” “we,” “our,” or “us”). These Terms of Use (the “Terms”) govern your access to and use of our website located at [ https://www.cokolo.store ] (the “Site”) and any related services provided by us (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use the Service.

1. Acceptance of Terms

By using the Service, you represent that:

You have read, understood, and agree to be bound by these Terms.
You are at least the age of majority in your jurisdiction and capable of forming a binding contract.
You will comply with all applicable laws and regulations while using the Service.

2. Modifications to the Terms

We may modify or update these Terms at any time in our sole discretion. If we make significant changes, we will provide notice (e.g., by email or through a notice on our Site). Your continued use of the Service after any such changes indicates your acceptance of the new Terms.

3. Privacy

Our Privacy Policy describes how we collect, use, and share the personal information you provide. By using the Service, you consent to the collection and use of your information in accordance with our Privacy Policy.

4. User Accounts

Account Creation: You may be required to create an account and provide certain information about yourself as prompted. You agree to provide accurate, current, and complete information and to update your information to keep it accurate.
Account Security: You are responsible for keeping your login credentials confidential. You agree to notify us immediately of any unauthorized access or use of your account.
Account Termination: We reserve the right to suspend or terminate your account at any time for violations of these Terms or other legitimate reasons.

5. License and Restrictions

Limited License: We grant you a non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms.
Prohibited Uses: You agree not to:
- Use the Service in any unlawful manner or in a way that could damage or impair the Service.
- Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service.
- Upload or transmit any viruses, malware, or harmful code.
- Engage in any activity that disrupts or interferes with the Service or the servers and networks connected to the Service.
- Harvest or collect any information about other users without their consent.
- Commercially redistribute any content or alter/remove any logos or watermarks from our images.

6. Subscriptions, Billing, and Cancellation

Auto-Renewal : By purchasing a subscription (Monthly, 3-Month, 6-Month, or 12-Month), you explicitly agree to an initial and recurring subscription fee at the then-current rate. Your subscription will automatically renew at the end of your subscription term unless you cancel your subscription before the next scheduled billing date.
Billing Cycle and Anchor Day : Your initial payment will be charged immediately upon your first sign-up, which covers your first box (the Welcome Box). All subsequent recurring charges will be processed automatically on the 25th day of each month (the “Anchor Day”). To ensure you never face premature billing before receiving your shipment, if your initial sign-up occurs close to the Anchor Day, your second billing will automatically skip the immediate 25th and take place on the 25th day of the following month.
Cancellation Policy : You may cancel your subscription at any time by logging into your account on our Site. To prevent the next scheduled recurring charge, you must submit your cancellation at least 3 days prior to the billing date (by the 22nd day of the month at 11:59 PM JST). Cancellation requests received after this deadline will apply to the subsequent billing cycle, and you will be charged for and receive that month's scheduled box.
Prepaid Multi-Month Subscriptions : If you cancel a 3-Month, 6-Month, or 12-Month prepaid subscription before the end of its active term, you will not receive a prorated or partial refund for the remaining duration. You will continue to receive all remaining boxes that have already been paid for, and the cancellation will ensure your plan does not automatically renew at the end of the term.

7. Shipping

Address : You must keep your payment information and shipping address up to date.
Cancel : Boxes that have already been shipped cannot be returned, refunded or canceled.
Tax etc : The subscriber is responsible for paying all tariffs, duties, taxes, VAT and other charges that may occur when importing the box to their home country.
Damage : All damaged items must be reported within 7 days after you receive your box to qualify for either a replacement or refund based on product availability. Blemishes to packaging will not be considered as part of a damaged item.
Return : Once your monthly box is shipped from us the box or products included cannot be returned. Unclaimed shipments may be returned back to us and can be shipped again to the customer once at the customer's expense.
Loss : All missing or damaged shipments or items must be reported within 30 days of shipping to qualify for a replacement.

8. Food Disclaimer

Allergens: Products included in the Service may contain allergens such as nuts, dairy, gluten, soy, or other ingredients. We do not guarantee that any product is free from allergens. You are responsible for reviewing product information and consuming items at your own risk.
Taste Preferences: We do not guarantee that all products will suit your personal taste preferences.
Dietary Requests: We may, at our sole discretion, accommodate limited dietary requests, such as substituting instant noodles with vegetarian options. However, we do not guarantee that any dietary preferences or restrictions, including religious or personal dietary requirements, can be fully accommodated.
Import Restrictions: Certain products may be restricted or prohibited in specific countries due to local laws and import regulations (for example, meat-containing products in some countries). In such cases, affected items may be removed or substituted without prior notice.

9. Intellectual Property

1. Ownership: All content, features, and functionality (including text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software) of the Service are the exclusive property of the Company or its licensors and are protected by intellectual property laws.

2.Trademarks: All trademarks, service marks, and trade names appearing on the Service are the property of their respective owners.

10. User-Generated Content

Responsibility: You may be able to post, upload, or otherwise submit content to the Service. You are solely responsible for the content you submit and the consequences of sharing such content.
Prohibited Content: You agree not to submit content that is illegal, obscene, defamatory, infringing, fraudulent, or otherwise objectionable.

11. Third-Party Links and Services

The Service may contain links to third-party websites or services that are not owned or controlled by the Company. We are not responsible for the content, privacy policies, or practices of any third-party websites or services. Your use of such websites or services is at your own risk.

12. Disclaimer of Warranties

13. Limitation of Liability

To the maximum extent permitted by applicable law, the Company and its affiliates, officers, employees, agents, and partners will not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with your use of the Service. Our aggregate liability arising out of these Terms will not exceed the amount you have paid to use the Service or one hundred dollars (USD 100), whichever is greater.

14. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, employees, agents, and partners from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney’s fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

15. Governing Law

These Terms will be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be exclusively submitted to the courts located in Japan, and you consent to the jurisdiction of such courts.

16. Termination

We reserve the right to suspend or terminate your access to the Service at any time, without notice or liability, if we reasonably believe that you have violated these Terms. All provisions of these Terms that should survive termination will remain in effect, including intellectual property ownership, warranty disclaimers, indemnity, and limitations of liability.

17. Changes to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice to you. We will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or additional policies published by the Company, constitute the entire agreement between you and the Company regarding the Service. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
